Know what a contract commits you to before you sign it
Send in the contract. A one-page read comes back: what you are agreeing to, where it differs from your usual terms, and what to push back on.
A forty-page contract lands and a decision is needed by Friday. Reading it properly takes a full afternoon, and the clauses that matter, auto-renewal, liability caps, notice periods, are spread through the whole document. Sending every contract to a lawyer is not realistic for a company of sixty people, so most get read under pressure and signed.

- 90 days' notice to end it, otherwise it renews for another 36 months (clause 12.1).
- Their liability capped at three months' fees (clause 14.3).
- Renewal term is three times longer than you normally accept.
- No exit if they are bought by a competitor. Your standard terms include one.
- Your data can be kept 12 months after the contract ends (schedule 2).
- Renewal to 12 months, notice to 60 days.
- Liability cap raised to 12 months' fees, in line with your last two software contracts.
